Where Grayston adds most value

Complex enterprise technology. Senior buyers. High-stakes first wins.

Grayston Technology is best suited to differentiated B2B technologies that need consultative selling, technical credibility and multiple-stakeholder navigation rather than high-volume transactional sales.

Working principles

Senior involvement from first question to first win.

01 / EVIDENCE

Start with reality

Challenge assumptions early, listen to buyers and build the regional plan around evidence rather than enthusiasm alone.

02 / CLARITY

Make value legible

Complex technology must be translated into a clear commercial reason for a customer, partner or investor to act.

03 / OWNERSHIP

Stay close to execution

Advice matters most when it is connected to target accounts, conversations, qualification, negotiation and measurable next steps.

04 / TRUST

Protect the relationship

Enterprise markets reward credibility, consistency and direct communication—especially when a brand is still earning recognition.

05 / DISCIPLINE

Qualify rigorously

Focus time and investment on opportunities with genuine pain, access, value, process clarity and a route to decision.

06 / SCALE

Turn learning into a system

Capture what works so early wins can become a repeatable go-to-market motion, not isolated successes.

Start a focused conversation

Share the technology, target market and commercial question. The first conversation is used to understand fit, timing and the most useful next step.

Clear choices about optional Google Analytics.

Last reviewed: 3 November 2026 — pre-launch draft, subject to live cookie scan.

1. Cookies and similar technologies

Cookies are small files stored on your device. Browser local storage can also remember choices. Cloudflare may operate necessary security and delivery technologies depending on your site configuration.

2. Your choices

Optional Google Analytics 4 will not load unless you choose Accept analytics. You may choose Reject analytics with equal ease, and can reopen at any time. Leaving the banner without choosing does not count as consent. Rejecting analytics will not prevent use of the website.

3. Technology and cookie schedule

4. Google Analytics configuration

Google Analytics 4 is optional and will only operate after a valid measurement ID is installed and you consent. Our default configuration does not include Google Ads, advertising personalisation or remarketing. Additional features would require reassessing this policy and consent controls. Google's own information is available at Google Privacy Policy.

Home / Legal / Business service terms

Business Service Terms

Terms for business-to-business services where expressly incorporated into an agreement.

1. Contract documents

The contract consists of the relevant proposal, quotation, order or statement of work; written variations agreed by both parties; and these Business Service Terms. If there is a conflict, the proposal or statement of work takes priority. A contract begins when the client accepts our proposal in writing, issues an accepted purchase order, instructs us to begin work, or otherwise accepts the services on the stated basis.

2. Services

We will provide the services described in the applicable proposal or statement of work with reasonable care and skill. Dates and project plans are estimates unless expressly fixed. We will take reasonable steps to meet agreed dates but are not responsible for delays caused by the client, a third party, incomplete information or circumstances outside our reasonable control.

3. Client responsibilities

The client will:

  • provide timely, accurate and complete information;
  • provide appropriate access to relevant staff, systems and premises;
  • make decisions and provide approvals without unreasonable delay;
  • maintain appropriate backups and security controls;
  • obtain necessary third-party permissions and licences;
  • ensure its instructions and materials do not infringe third-party rights or break the law; and
  • nominate an authorised project contact.

We are not responsible for delay, additional cost or reduced performance resulting from failure to meet these responsibilities.

4. Fees and expenses

The client will pay the fees in the proposal or statement of work. Unless stated otherwise, fees exclude VAT and similar taxes; reasonable pre-approved expenses are additional; time-based work is charged at stated rates; estimates are not fixed-price commitments; and additional or changed work may be charged separately.

5. Invoicing and payment

Unless the proposal states otherwise, invoices are payable within 30 calendar days, in pounds sterling, without set-off or deduction except where required by law. Genuine invoice disputes must be raised promptly with the disputed amount and reason. We may charge statutory interest and recovery costs on overdue commercial debts and may suspend services after reasonable written notice where an undisputed invoice remains overdue.

6. Changes

Either party may request changes to scope, assumptions, deliverables or timetable. We are not required to implement a change until its effect on fees, resources and timing is agreed in writing. Until then, we may continue under the existing scope.

7. Intellectual property

Each party retains intellectual property owned or developed independently before the project. Unless the proposal says otherwise, Grayston Technology Ltd retains its methods, experience, know-how, templates, tools, reusable materials and pre-existing technology. Following full payment, the client receives a perpetual, non-exclusive licence to use project deliverables for internal business purposes. The client may not resell, sublicense or commercially exploit our reusable materials unless agreed in writing. Third-party materials remain subject to their licence terms. The client permits us to use supplied information and materials as necessary to provide the services.

8. Confidentiality

Each party will protect confidential information received from the other and use it only to perform or receive the services. This does not apply to information that is public other than through breach, already lawfully known, lawfully received from another source, independently developed, or required to be disclosed by law, a court or regulator. Confidential information may be shared with employees, subcontractors and professional advisers who need it and are appropriately bound.

9. Data protection

Each party will comply with applicable data-protection law. Unless otherwise agreed, each acts as an independent controller for its own business-contact and administrative information. If we process personal information solely on the client’s behalf, appropriate data-processing terms will be agreed before processing begins.

10. Third-party services

Services may depend on third-party platforms, software, infrastructure or suppliers. We are not responsible for changes, interruptions or failures outside our reasonable control. Third-party services may carry separate charges, licences and terms.

11. Warranties

We warrant that services will be performed with reasonable care and skill. Except where expressly stated, all other warranties, conditions and terms that may legally be excluded are excluded to the fullest extent permitted by law. We do not guarantee a particular commercial outcome, saving, revenue level or business result unless expressly agreed in writing.

12. Liability

Nothing excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or liability that cannot legally be excluded. Subject to that, neither party is liable for indirect or consequential loss. We are not liable for loss of profit, revenue, anticipated savings, goodwill, business opportunity or data unless the proposal states otherwise. Our total aggregate liability under the relevant contract will not exceed the fees paid or payable under that contract during the 12 months preceding the event giving rise to the claim. The client is responsible for backups, business continuity and cybersecurity.

13. Termination

Either party may terminate in accordance with a proposal notice period; immediately for material breach not remedied within 14 days after written notice where capable of remedy; or immediately if the other becomes insolvent or ceases business, subject to insolvency law. If no notice provision appears in the proposal, either party may terminate ongoing services on 30 days’ written notice.

14. Consequences of termination

The client must pay for services performed and costs properly incurred up to termination. Each party must return or securely delete the other’s confidential information where reasonably requested, subject to legal-retention obligations. Provisions intended to continue—including payment, confidentiality, intellectual property, liability and governing law—remain effective.

15. Subcontracting

We may use suitably qualified subcontractors and remain responsible for the parts of the services they provide on our behalf, subject to the contract.

16. Events outside reasonable control

Neither party is liable for delay or failure caused by circumstances outside its reasonable control, provided it informs the other and takes reasonable steps to minimise the effect. This does not excuse payment for services already provided.

17. Notices

Formal notices must be sent by email and, for termination or a legal dispute, also by recorded post to the address in the proposal or the party’s registered office.

18. General provisions

  • Neither party may transfer the contract without written consent, except as part of a genuine business sale or reorganisation.
  • Delay in enforcing a right does not waive it.
  • If a provision is unenforceable, the remaining provisions continue.
  • The contract is the entire agreement concerning its subject matter, without excluding liability for fraud.
  • No person other than the parties may enforce the contract.
  • Variations must be agreed in writing by authorised representatives.

19. Governing law and jurisdiction

The contract is governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over disputes arising from it.
